PROBLEM TO BE SOLVED: To provide a decorative sheet in which cracking and breakage hardly occur even when bending processing and draw processing are applied on a decorative material prepared by laminating the decorative sheet on a metal sheet, and a decorative material using the decorative sheet. SOLUTION: The decorative sheet 1 is prepared by laminating a second thermoplastic resin layer 15 with a storage elastic modulus (23°C, 1 Hz) of 4.5×10<SP>3</SP>-6.0×10<SP>3</SP>MPa on the surface of a first thermoplastic resin layer 12 with a storage elastic modulus (23°C, 1 Hz) of 4.0×10<SP>2</SP>-8.0×10<SP>2</SP>MPa, and the decorative material is prepared by laminating it on the metal sheet 2.
