PROBLEM TO BE SOLVED: To provide a thin-walled adjusting device having a simple structure and capable of reducing a protrusion amount from a flat plate part and a flow meter provided with the adjusting device capable of reducing the number of special exclusive parts in the adjusting device of the flow meter and reducing unit price of parts. SOLUTION: The vertical Waltman type flow meter in which a rotary axis of an impeller for measuring a flow rate of fluid is arranged in the longitudinal direction so as to cross in the direction connecting an inlet with an outlet is provided the adjusting device for adjusting rotation speed of the impeller by changing the direction of flow of fluid to be measured and applied on the impeller when rotation force is given to the impeller while applying the fluid to be measured from the axial direction on the impeller and letting it pass. The adjusting device is turnably supported using a pivot which forms a first axis as a support point and is fixed to predetermined angle attitude by an axial fixing member which is not on the same axis as the first axis, is apart from the first axis by a predetermined distance, and forms a second axis.
