PROBLEM TO BE SOLVED: To provide a ventilating device for preventing intrusion of rain water from an outdoor intake port and mixing of intake air and exhaust gas. SOLUTION: Air in a room 1 is sucked from an indoor intake port 12 of a device body 10, and is exhausted from an outdoor exhaust port 30 to the outside 2 through an exhaust passage 16, a body exhaust port 14, an indoor air exhaust pipe 37, and an elbow pipe 26 for exhaust. The outdoor intake port 31 for taking the air of the outside 2 opens in an insulation air layer 6 between an outer wall panel 4 and an inner wall panel 5, so that the intrusion of rain water from the outdoor intake port 44 can be prevented. The outdoor exhaust port 45 and the outdoor intake port 44 are isolated, thereby preventing indoor air exhausted from the outdoor exhaust port 45 from mixing with the air taken from the outdoor intake port 44.
