PROBLEM TO BE SOLVED: To provide a light diffusing sheet which can suppress glaring phenomenon on a screen while keeping antidazzle property even when the sheet is used for a display device such as a high-definition LCD or the like and which can form an image without a yellowish hue on the display device and to provide an optical element provided with the above light diffusing sheet. SOLUTION: In the light diffusing sheet having a light diffusing layer made of a transparent resin film layer having a fine rugged shape on its surface formed on at least one surface of a transparent substrate, the sheet has such properties that the haze of the light diffusing sheet is >=35% and that the ratio (bA/bB) of the b value (bA) of the light diffusing sheet in the Lab color chart system to the b value (bB) of the transparent substrate as a single body ranges from 1.0 to 1.3.
