PROBLEM TO BE SOLVED: To provide a heat sink with a fan, which is superior in productivity and heat dissipation efficiency. SOLUTION: A rack 8 is provided so as to cover fins 5, an opening 12 is provided to the rack 8 while confronting the fins 5, and a ventilating fan 14 is fixed to the opening 12 for the formation of a heat sink 16 with a fan. The rack 8 is formed of metal, and cut-lift pieces 14 which are engaged with the housing of the fan 14 so as to fix the fan 14 to the rack 14 are provided to the periphery of the opening 14 at the prescribed positions.
