PROBLEM TO BE SOLVED: To provide a soundproofing structure of equipment which has soundproofing performance equal to the conventional soundproofing performance or better than that, is light in weight and low in cost and is capable of reducing the evolution of harmful gas during combustion and a soundproofing member. SOLUTION: A small-sized power generator 1 is constituted by enclosing an engine 10 as an internal noise source with shell plates 2 and disposing the soundproofing material 8 apart an air layer 3 on the inner side of the cover 2a to be subjected to soundproofing among the shell plates 2. The soundproofing material 8 consists of acoustic materials 6a and 6b composed of two layers of fibers, aluminum foil 4 superposed therebetween and aluminum foil 4 superposed on the outside surface of the material 6a and is formed to a shape approximately resembling the shape of the cover 2a. A multiplicity of through-holes 9 are dispersedly formed at the internal aluminum foil 4 and a multiplicity of cuts 5 constituting the segments on one straight line are dispersedly formed at the aluminum foil 4 on the outside surface.
