PURPOSE: Provided is a process for preparing a thermoplastic resin composition suitable for extrusion and injection moldings which has excellent impact resistance, flow and tensile properties. CONSTITUTION: The process for preparing a thermoplastic resin composition comprises the steps of: converting 40 to 60 parts by weight of a butadiene based rubbery polymer latex having an average particle diameter of 0.10 to 0.20 micrometers and a butadiene based rubbery polymer latex having an average particle diameter of 0.28 to 0.38 micrometers with 60 to 40 parts by weight of a monomer mixture into a graft copolymer having an average particle diameter of rubber ranged from 0.17 to 0.34 micrometers by a first and a second reaction steps; and then hot melt kneading a SAN resin having an acrylonitrile content of 28 to 40 wt% therewith.
