PROBLEM TO BE SOLVED: To provide a heat retaining and moisture-permeable water-proof cloth which exhibits high moisture permeability and water-proofness and further, heat retaining properties ensured by the reflection of a radiant heat from a heat reflective metal. SOLUTION: A water-swelling and moisture-permeable urethane resin containing 1 to 20 wt.% of fine powder of a heat reflective metal is applied and dried to form a film. After that, this film is bonded to a fiber cloth with a moisture-curable hot-melt resin of a non-solvent type applied, in a dotted pattern, to the surface of the film. Following the termination of a chemical reaction of an adhesive, a release paper is released.
