PROBLEM TO BE SOLVED: To provide a flow-rate measuring device whose power consumption is reduced and whose accuracy is ensured. SOLUTION: The flow-rate measuring device is provided with a delay means 19 which delays a transmission signal when the propagation of ultrasonic waves is repeated in a plurality of numbers of times, a first counting means 20 which counts a first reference clock while the propagation is repeated in the plurality of numbers of times, a second counting means 19b which counts a second low-frequency reference clock 19a and a third counting means 19d which counts a third high-frequency reference clock 19c. As a result, the greater part of the delay time uses the clock 19a, the remainder uses the clock 19c, and it is possible to obtain the flow-rate measuring device whose accuracy is ensured and whose power consumption can be reduced.
