PROBLEM TO BE SOLVED: To provide a microlens array having a shading layer provided thereto at an accurate position, a method for manufacturing the same and an optical device. SOLUTION: The method for manufacturing the microlens array includes a process for forming second layers 126 on a member having a first layer 120 and shading layers 122 and provided with a plurality of recessed parts 124. The bottom parts of the recessed parts 124 are formed to the first layer 120. The shading layers 122 surround the recessed parts 124 to form at least a part of the inside surfaces thereof. The surfaces of the second layers 126 are formed so as to have lens surfaces at every recessed part 124.
