PROBLEM TO BE SOLVED: To provide a method for producing a phosphatidylserine in an aqueous system in which hydrolysis is remarkably suppressed and synthetic ratio is improved. SOLUTION: This method is characterized by carrying out a reaction in the aqueous system, using the phospholipid adsorbed on a carrier as the raw material phospholipid and using a receptor and phospholipase D in a free state in the method comprising making the phospholipase D act on the raw material phospholipid in the presence of the receptor having hydroxy group and carrying out the base exchange of the phospholipid.
