PROBLEM TO BE SOLVED: To provide a phosphorus-containing resin composition which has a high flame retardancy and a high heat resistance and is excellent in adhesiveness without containing a halogen. SOLUTION: This phosphorus-containing resin composition contains a phosphorus-containing epoxy resin and a curing agent as its essential components. The phosphorus-containing resin is obtained by reacting a phosphorus-containing organic compound obtained by reacting not less than 1.01 mol and less than 2 mol of an organic phosphorus compound having an active hydrogen bonded with its phosphorus atom and 1 mol of a quinone compound, and an epoxy resin selected from the ones of formula (1)-(3) (wherein R1 to R3 each represents H or phenyl group; m, n and l are each a positive integer including 0; X represents -CH2 -, -O-, -CO-, -SO2 -, -S-, -HC(C6 H5 )-, -C(C6 H5 )2 -,a direct bond or formula (4).), such that the content of the epoxy resin selected from the ones of formula (1)-(3) be 20-45 mass% of the phosphorus-containing resin composition. As the curing agent, a triazine-modified novolak resin is used partly or solely.
