PROBLEM TO BE SOLVED: To provide a resin composition which excels in the balance of the melt flowability to be required on fabrication and the adhesion to a polyurethane foam, and can give a laminated product firmly bonded to a polyurethane without using a primer (an adhesive), and a laminated product to be obtained by using the resin composition. SOLUTION: The resin composition comprises (A) 100 pts.wt. copolymer of an epoxy group-containing monomer with anα-olefin and (B) 3-150 pts.wt. polyhydric phenol.
