PROBLEM TO BE SOLVED: To provide a composition grafted with an aminocarboxylic acid, having improved heat-resistance of ethylene-unsaturated carboxylic acid copolymer or its ionomer and exhibiting excellent moldability, transparency, rigidity, tensile characteristics, etc. SOLUTION: The graft copolymer composition is produced by melting and kneading (A) an ethylene-unsaturated carboxylic acid copolymer or its ionomer having an unsaturated carboxylic acid content of 10-30 wt.%, (B) a 10-15C aminocarboxylic acid and (C) nylon 10-15 having a viscosity of 50-2,000 Pa.s at 250 deg.C and 277 sec-1 at an (A)/[(B)+(C)] weight ratio of 50/50 to 99/1 and a (B)/(C) weight ratio of 10/90 to 90/10.
