PROBLEM TO BE SOLVED: To provide a fixing structure of a heat and sound insulation cover for an internal combustion engine capable of improving mounting rigidity. SOLUTION: In this fixing structure of the heat and sound insulation cover 10 arranged close to an exhaust manifold 1 to fix a plurality of mounting holes 11, 13 to bosses 6A, 7 corresponding to each of them, the heat and sound insulation cover 10 is formed in such a way that, while the mounting hole 13 which is a part of a plurality of mounting holes 11, 13 is brought into contact with the corresponding boss 7, the remaining mounting hole 11 floats up from the corresponding boss 6A, and the remaining mounting hole 11 is fixed to the boss 6A while elastically-deforming the heat and sound insulation cover 10.
