PROBLEM TO BE SOLVED: To provide a magnetic recording medium which has excellent noise characteristics and heat resistant demagnetization characteristics, a method of manufacturing for the same and a magnetic recording and reproducing device. SOLUTION: In the magnetic recording medium provided with at least a nonmanagement substrate 1 and a soft magnetic ground surface film 2, alignment control film 3 and vertical magnetic film 4 formed on this nonmanagement substrate 1, the alignment control film 3 and the vertical magnetic film 4 in clude a layer consisting of >=1 layer of hcp structure of fcc structure, a soft magnetic film 5 consisting of a soft magnetic material is formed on the vertical magnetic film 4 and the soft magnetic film 5 and the vertical magnetic film 4 are exchange-bonded.
