PROBLEM TO BE SOLVED: To provide a heat-insulating panel, in which a groove in a frame material need not be worked and an airtight material is conserved and transported easily without a space while the airtight material is installed easily to the frame material without requiring a special cutter or the like, its execution method and the airtight material for the method. SOLUTION: A heat-insulating material 5 is introduced into a space surrounded by the frame material 2 fixed onto a surface on the indoor side of a face material 1 for a bearing wall. The airtight material 8 closing an opening between the outer circumference of the frame material 2 and the inner circumference of a framework has a base section 9 composed of a bendable semi-rigid rubber and airtight pieces 10 integrally fixed to the base section 9 and consisting of a soft rubber. The airtight material 8 fixes the base section onto a surface on the indoor side of the frame material 2 and an outer circumferential surface by fixtures 15. The swelling section of a mounting section 9a to the frame material 2 and the airtight pieces 10 are cut at the corner section of the frame material 2.
