PURPOSE: A water-soluble plantsterol derivative having a cholesterol absorption-decreasing effect and a producing method thereof are provided, which water-soluble plantsterol derivative can decrease blood cholesterol level without causing side-effects such as liver function disorder. CONSTITUTION: The water-soluble plantsterol derivative having the cholesterol absorption-decreasing effect is represented by formula(1), wherein R1 is H, Na, K, Li or Cs; and R is hydrophilic macromolecular resin or a compound of formula(2), wherein n is an integer from 10 to 95, and R1 is H, Na, K, Li or Cs, in which the hydrophilic macromolecular resin is polyethyleneglycol, monomethylether polyethyleneglycol, xanthan gum, guar gum, sodium alginate, dextrin, oligosaccharide, chitosan or carboxymethylcellulose. The method for preparing the water-soluble plantsterol derivative comprises the steps of: reacting plantsterol and phosphorus oxychloride in the presence of nonpolar organic solvent and base catalyst to prepare plantsterol intermediate; and adding hydrophilic macromolecular resin and binding agent into the intermediate of the plantsterol in the presence of nonpolar organic solvent and base catalyst to bind the hydrophilic macromolecular resin with the intermediate.
