PROBLEM TO BE SOLVED: To provide a variable optical attenuator and a device capable of executing fine adjustment of shielding quantity and removing the dispersion of shielding quantity and allowed to be easily positioned. SOLUTION: The variable attenuator 20 forming a parallel beam area formed between a pair of opposed optical systems 13 and capable of continuously attenuating a parallel beam 14 is provided with a shielding plate 30 fixing a base end part 31 and holding a tip part 32 as a free end and constituting the base end part 31 at least of a plate spring and a depressing means 40 for positioning and flexibly deforming the plate 30 by depressing one surface of the plate 30 and constituted so as to change the quantity of shielding the parallel beam 14 on the tip part 32 in accordance with the flexible deformation quantity of the plate 30.
