PROBLEM TO BE SOLVED: To provide a fire-resistant soundproof vibration-damping resin composition which is thin, expresses a remarkable fire-resistant performance, and expresses a soundproof vibration-damping effect. SOLUTION: This resin composition comprising a thermally expandable inorganic substance and an inorganic filler having a true specific gravity of >=3.0, characterized by having a specific gravity of >=1.5, an elastic modulus in tensile in a range of 0.3 to 50 MPa measured with No.2 type dumbbell of JIS K6310, and a thickness change of 1.1 to 100 times, when irradiated with a calorie of 50 kW/m2 for 30 min in the sheet shape of the resin composition.
