PROBLEM TO BE SOLVED: To provide a composition capable of easily forming a film having a rough surface for a light diffuse-reflecting plate, excellent in adhesion to a substrate, heat resistance and transparency and used for the light diffuse- reflecting plate of a reflective or translucent liquid crystal display and to provide a light diffuse-reflecting plate with a film formed from the composition and a liquid crystal display with the light diffuse-reflecting plate. SOLUTION: The composition contains [A] a copolymer of (a1) an unsaturated carboxylic acid and/or its anhydride, (a2) an epoxy-containing unsaturated compound and (a3) an olefinically unsaturated compound other than the monomers (a1) and (a2) and [B] particles.
