PROBLEM TO BE SOLVED: To provide the flow rate-measuring device for ultrasonic waves for accurately obtaining the propagation time of the ultrasonic waves. SOLUTION: The inner surface of both the side parts in the flow direction of fluid at a flow rate measurement section 7 is formed on elliptic, inner surfaces that are symmetrically arranged on the same axis while each one focal position coincides. A straight-advance ultrasonic wave-shielding member 9 for shielding straight-advance ultrasonic waves that advance toward opposing ultrasonic vibrators 3 and 2 after being transmitted from the ultrasonic vibrators 3 and 2 on an axial line for connecting the ultrasonic vibrators 2 and 3 in the flow rate measurement section 7. As a result, the ultrasonic vibrators 3 and 2 at a reception side receive only reflected ultrasonic waves, thus easily specifying the reception time of ultrasonic waves, and accurately obtaining the propagation time of ultrasonic waves.
