PURPOSE: A transfer rate recognizing apparatus and method of an optical receiver is provided to obtain a transmission transparency by automatically determining a transfer rate of an inputted optical signal and generating a corresponding reference clock, facilitate controlling by controlling a low frequency signal, and minimize an influence of white noise. CONSTITUTION: An inputted optical signal is converted into an electric signal and amplified to a certain rate and outputted(S1). The amplified electric signal is limited within a pre-set amplitude range and outputted(S2). The reshaped electric signal is converted into a DC level and outputted(S3). The DC level is linearly changed and outputted(S4). The linearized DC level is compared with a previously stored reference level to determine a transfer rate of the inputted optical signal(S5). A reference clock corresponding to the transfer rate of the inputted optical signal is generated(S6).
