PROBLEM TO BE SOLVED: To provide a magnetic recording medium of superior recording and reproducing characteristics, running stability and durability, when a digital signal is recorded and reproduced with high density. SOLUTION: The magnetic recording medium, having a magnetic layer on a flexible non-magnetic substrate, is constituted so that the magnetic layer contains a ferromagnetic metal powder, a bonding agent, a fatty acid and a phosphorus or dicarboxylic acid based organic compound for modifying the surface of a magnetic powder and the phosphorus or dicarboxylic acid based organic compound has a molecular weight of <=280, neutralization number of >=390 and >=2.5×10-4 g/m2 organic compound contained per unit specific surface area of the ferromagnetic metal powder.
