PROBLEM TO BE SOLVED: To provide an aqueous resin composition and an aqueous coating agent which are excellent in water, solvent, weather and stain resistances and which has elasticity and excellent freeze-thaw adhesion. SOLUTION: The resin composition is obtained by performing the solution polymerization of (A) a polymerizable unsaturated monomer having a long hydrolytic silyl group between silicon cross links of 0.5 to 50 wt.%, (B) a polymerizable unsaturated monomer containing an ion-forming group of 1 to 20 wt.%, (C) another polymerizable unsaturated monomer of [100-(A+B)] wt.%, (D) a colloidal silica of 5 to 100 wt.% with respect to the total polymerizable unsaturated monomer and (E) a compound having a hydrolytic silyl group and a mercapto group of 0.1 to 5 wt.% with respect to the total polymerizable unsaturated monomer and emulsifying the resulting resin solution by the addition of water.
