PROBLEM TO BE SOLVED: To provide a valve-timing regulating device which constrains relative rotation of a rotating body on the driven side with respect to a rotating body on the drive side, when an engine is stopped. SOLUTION: A stopper piston 32 can be engaged with an engaging hole 41, when a vane rotor 15 is positioned approximately, in an intermediate position between a phase most lagged position and a spark most advanced position based on a shoe housing 12. In a state that the stopper piston 32 is engaged with the engaging hole 41, relative rotation of the vane rotor 15 to the shoe housing 12 is constrained. When the vane rotor 15 is rotated further to the spark advance side than the intermediate position, where the stopper piston 32 is engaged with the engaging hole 41, based on the shoe housing 12 a damper chamber 46 communicates with a spark advance oil pressure chamber 54 via a through-hole 30b, an oil passage 48, and a recessed space 49. When the vane rotor 15 is rotated to the delay side containing the intermediate position, a damper chamber 46 is sealed and a speed at which the stopper piston 32 is moved to the engaging hole 41 is decreased.
