PROBLEM TO BE SOLVED: To provide a magnetic recording medium, superior in thermal fluctuation resistance and a magnetic recorder. SOLUTION: The magnetic recording medium is a multilayered film, comprising a substrate (1), an underlayer (2) formed on the substrate (1), a magnetic layer (3) formed on the underlayer (2) and a protective layer (4) formed on the magnetic layer (3), the magnetic layer (3) consists essentially of a magnetic metal element and a noble metal element and the underlayer (2) is formed from an alloy or compound, in which martensitic transformation or its reverse transformation is crystallographically reversible.
