PROBLEM TO BE SOLVED: To make a heat-exchanging panel excellent in heat conductivity by increasing the area of heat radiation with simple structure. SOLUTION: A heating-exchanging element 2 is equipped with an outer tube 4 circular in cross section filled with a heat-exchanging medium w and a heat conductive pipe 9 for gasifying or liquefying the heat-exchanging medium W, and it is made in such a simple structure that the outer tube 4 of the heat- exchanging element 2 is in contact with an outer plate 1 thereby improving the heat conductivity.
