PROBLEM TO BE SOLVED: To provide a thermo-conductive sheet that has flexibility, can follow a special shape of an uneven surface, a bending surface or the like and can secure high thermal conductivity without any defect attributable to addition of a thermoconductive filling material. SOLUTION: This thermo-conductive sheet containing a thermo-conductive resin layer is constituted such that the thermo-conductive resin layer is composed of a binder resin containing wax and a thermo-conductive filling material distributed in the binder resin.
