PROBLEM TO BE SOLVED: To provide a method for readily producing a phosphatidylethanolamine derivative in high purity in an industrial scale. SOLUTION: This method for producing the phosphatidylethanolamine derivative is characterized in that the objective derivative is produced by reacting a phosphatidylethanolamine with a dicarboxylic anhydride by using an organic solvent free from active hydrogen, mixing the resultant product with a buffer solution having pH 3.5-7.5, separating an organic solvent layer by phase separation, and removing an organic solvent from the resultant organic solvent layer.
