PROBLEM TO BE SOLVED: To obtain an epoxy resin composition excellent in dissolution dispersibility, reduction in stress (reduction in modulus of elasticity) and fracture toughness coefficient. SOLUTION: This epoxy resin composition comprises 100 pts.wt. of an epoxy resin and 1-100 pts.wt. of a thermoplastic resin prepared by reacting highly cross-linked particles having 50-500 nm average particle diameter and >=75 wt.% content of a toluene-insoluble fraction with a vinylic monomer and having <=0.25 dl/g intrinsic viscosity [η] of an acetone-soluble fraction.
