PROBLEM TO BE SOLVED: To obtain a (modified) conjugated diene-based polymer having a narrow molecular weight distribution and improved cold flow and excellent in storage stability by using a new compound catalyst of rare earth elements exhibiting high polymerization activity to the conjugated diene-based compound. SOLUTION: The conjugated diene-based compound is polymerized by using a catalyst comprising (a) a cobalt compound, (b) alumoxane and (c) halogen- containing compound as main ingredients and is further reacted with at least one kind of a compound selected from the group of (d) an acid halide having at least two halogen atoms in the molecule, (e) a halogen-containing sulfur compound having at least two halogen atoms in the molecule and (f) a alkoxysilane compound containing mercapto group as necessary.
