PROBLEM TO BE SOLVED: To provide the subject device having an optimum damping characteristic over all the speed areas of a piston and over all the areas of soft to hard characteristics. SOLUTION: A piston 3 to which a piston rod 4 is connected is fitted into a cylinder 2. A main valve 13 and a sub valve 14 are provided at a main passage 11, while a fixed orifice and a pilot valve 16 are provided at an auxiliary passage 12. By controlling control pressure of a pilot valve 16, damping force to a low piston speed region is controlled directly, while a pilot pressure led from a pilot passage 17 is varied, and by controlling a valve opening pressure of a main valve 13 a high speed area damping force is controlled simultaneously. Upon opening the main valve 13, a damping force of a sub valve 14 is added, and thereby an insufficient condition of damping force at the time of soft characteristic is compensated for attaining a proper damping force. Since the sub valve 14 is arranged downstream of the main valve 13, there occurs no influence of a pilot pressure at the time of hard characteristic.
