PROBLEM TO BE SOLVED: To provide a cooling and heating air conditioner capable of preventing the deterioration of capacity of an outdoor side heat exchanger provided in a refrigerant circulation circuit upon heating operation, eliminating excessive man-hours for installation, not complicated in the refrigerant circulation circuit and reduced in a heat dissipation loss in an outdoor machine due to an atmospheric temperature even under strong wind. SOLUTION: A cooling heating air conditioner is provided with a hot-water type heat exchanger 11 in an outdoor machine 2 constituted of the hot-water side heat exchanger of a hot-water circulating device 4 extending to a refrigerant side heat exchanger, an operation switching means for switching hot-water heating type heating operation wherein the heating operation is effected upon heating by the heating operation of the hot-water circulating device 4 to heat the refrigerant by hot-water, into a normal heat pump operation, and an opening and closing mechanism 42 arranged in the suction port 41a and/or the outlet port 41b of outdoor air for the outdoor machine and closed upon hot-water heating type heating operation.
