PROBLEM TO BE SOLVED: To provide a mounting structure of protector in which a mountability is improved at the time of mounting operation, a positioning is accurately carried out in the state of mounting completion and a retaining force reduction is also prevented by a resilient reaction function of a shock-absorbing material. SOLUTION: A shock-absorbing material 2 is disposed and formed on a car body panel 1 and is removed around one of a pair of mounting bolts 3, 3 projected from the car body panel 1. Clips 5, 12 through which mounting bolts 3, 3 are penetrated are formed such that a penetration direction thickness of one clip 12 is projected against the other clip 5 by a thickness corresponding to that of the shock-absorbing material 2.
