PROBLEM TO BE SOLVED: To provide a mounting structure of a head lining capable of improving not only the modularization for improving the mountability of the head lining to a roof panel, but also the appearance, and the mountability and demountability of the head lining. SOLUTION: A mounting structure of a head lining applies a structure capable of demountably mounting a pad material 3 to a head lining 4 by means of engagement pieces 10 and engagement holes 13, and the pad material integrated with the head lining 4 by this engagement is adhered to a roof panel 2 to assemble the head lining 4 to the roof panel 2 by one integrated component without the addition of the load of the pad material 3. By disengaging the head lining 4 from the pad material 3, only the head lining 4 can be demounted from the roof panel 2, which improves the mountability and demountability of the head lining 4.
