PROBLEM TO BE SOLVED: To provide a sound-absorbing panel inhibiting the reflection of a sound wave of a surface, and an echo sound from a rear and being capable of displaying excellent sound-absorbing performance. SOLUTION: A sound-absorbing board 1, which absorbs a sound from a surface and through which the sound is propagated a sound-wave interference air layer 2 making the sound wave interfere and attenuating it, and a reflecting board 3 reflecting the sound wave are disposed in three-layer structure towards the rear side from the surface side. These boards and layer are held by forms 4 while the sound-absorbing board 1 is assistingly supported freely toward the surface side to the forms 4.
