PROBLEM TO BE SOLVED: To provide a resin composition for a matte coating excellent in matte effect and in weather resistance of a coated film and suitable for a coating and to provide a coating using the same. SOLUTION: The title resin composition for a matte coating comprises [I] an organic solvent-soluble copolymer (A) obtained by polymerizing (a) 30-60 wt.% of a styrenic monomer, (b) 5-70 wt.% of an alkyl methacrylate monomer having not more than 2 carbon atoms in the alkyl group of its alkyl ester and (c) 0-65 wt.% of an ethylenically unsaturated monomer other than the aforementioned (a) and (b), and [II] a non-water-dispersible resin (D) comprising an organic solvent-soluble copolymer (B), obtained by copolymerizing ethylenically unsaturated monomers substantially free from a styrenic monomer, having incorporated therein an organic solvent-insoluble copolymer particle (C) of ethylenically unsaturated monomers. The title coating comprises this resin composition having incorporated therein a curing agent.
