PROBLEM TO BE SOLVED: To obtain a heat-radiating pressure-sensitive adhesive sheet which exhibits an excellent tackiness while retaining a good thermal conductivity by forming highly tacky layers on both the upper and lower surfaces and forming a highly thermally coductive layer between the highly tacky layers. SOLUTION: This pressure-sensitive adhesive sheet is prepared by curing a heat-radiating pressure-sensitive adhesive composition containing a tackifier and a thermal conductivity-imparting agent 3. Highly tacky layers 2a, 2b are formed on both the upper and lower surfaces, and a highly thermally conductive layer 4 containing a large amount of the thermal conductivity-imparting agent is formed between the highly tacky layers 2a, 2b. The tackifier is preferably a liquid tackifying resin such as a urethane resin or an acrylic resin, The thermal conductivity-imparting agent 3, preferably a ceramic powder or a metal powder, preferably has an average particle size of 1-150μm and is compounded in an amount of 50-200 pts.wt. based on 100 pts.wt. tackifier. Preferably, each of the highly tacky layers 2a, 2b has a thickness of 10-300μm.
