PROBLEM TO BE SOLVED: To provide a lens adjusting frame device capable of adjusting the position of a lens while avoiding deterioration of the lens optical characteristics and having a simple structure. SOLUTION: A lens barrel with a lens adjusting frame device incorporated therein has a fixed frame 1, a first lens holding frame 3 incorporated into a cam ring 2 and comprising an outer ring part 3a and an inner ring part 3b holding a lens, and a second lens holding frame 7. The inner ring part 3b is supported against the outer ring part 3a via upper and lower plate spring parts 3c. The outer ring part 3a is provided with right and left arm parts 3e for pressing the inner ring part 3b and a screw hole. An adjusting screw 6 is threadably engaged in the screw hole and is adjusted to rotate the arm part 3e about its fulcrum to enable the position of the inner ring 3b to be adjusted in the direction of the optical axis.
