PROBLEM TO BE SOLVED: To provide a heat insulating sheet for interior/exterior finish which has heat insulating effect such as cold reservation or heat reservation and is free from warping or condensation, and to provide a heat insulating member for interior/exterior finish obtained by superposing the sheet on a metal backing. SOLUTION: A heat insulating layer 2 formed of a cellular resin and having a plurality of openings 4, and a support layer 3 are superposed on the rear side of a decorative layer 1. The openings are each enclosed by the decorative layer, the heat insulating layers, and the support layer, to thereby form a plurality of hollow spaces 5. The heat insulating layer is constituted of an aggregation of closed cells. The rear side of the support layer 3 may further have a second heat insulating layer 2A and a second support layer 3A superposed thereon. In this case, openings 4A in the heat insulating layer 2A may include a plurality of second hollow spaces 5A.
