PROBLEM TO BE SOLVED: To obtain a flow rate regulating valve in which a valve main body and valve operation part stay on nearly same axis. SOLUTION: In this valve, a valve main body is formed by inserting the intermediate part of an inner cylinder 10 inside an outer cylinder 20. A sleeve 40 hitting to a valve operation part is fitted movably around the intermediate part of the inner cylinder 10 and the front end of the sleeve 40 can be inserted in the clearance 30 between the intermediate part of the inner cylinder 10 and the other end of the outer cylinder 20 therearound. When the sleeve 40 is moved to a first port 12 side, the opening of a second fluid road 34 of the intermediate part of the inner cylinder 10 is covered by the front end of the sleeve 40 so as to cut off the communication state of the first port 12 with the second port 14. Conversely, when the sleeve 40 is moved to the second port 14 side, the front end of the sleeve 40 is removed from the opening of the second fluid road 34 and the first port 12 is communicated with the second port 14 through the first fluid road 16, first bypass road 32, clearance 30, second bypass road 34 and second fluid road 18.
