PROBLEM TO BE SOLVED: To obtain the subject resin showing a low viscosity and a good reactivity by reacting an epoxy resin with a specific compound for substituting at least part of hydroxyl groups in the epoxy resin. SOLUTION: This modified epoxy resin is obtained by reacting (A) epoxy resin having preferably 400-1,6000 number-average molecular weight and 90-700 g/eq hydroxyl group equivalent with (B) preferably 5-95 mole % alkyl-substituted acetoacetates (e.g.; tert-butylacetoacetate) based on hydroxyl group contained in the component A, under an inert gas atmosphere (e.g.; nitrogen gas) at 50-200 deg.C for 0.5-5 hr to substitute at least part of the hydroxyl groups in the component A with acetoacetyl groups. As the component A, an epoxy resin obtained by a direct synthetic method or an indirect synthetic method of a bisphenol A type epoxy resin or bisphenol F type epoxy resin are preferably used.
