PROBLEM TO BE SOLVED: To obtain a resin composition excellent in storage stability, capable of forming a coating film having high hardness, resistance to scratch and chemical resistance and the like, and therefore useful as a coating material or adhesive or the like, by including a specific water-dispersible resin and a specific siloxane compound. SOLUTION: This resin composition is obtained by including (A) a water- dispersible resin having a hydrolyzable silyl group (e.g. a vinyl acetate/acrylic copolymer resin) and (B) a siloxane compound of the formula SiOaXb (X is a hydrolyzable group; (a) and b satisfy the relationships: 0<=(a)<=1.4, b=1.2 to 4.0 and 2a+b=4) (e.g. a hydrolysis condensate of tetramethoxysilane). The hydrolyzable silyl group is e.g. an alkoxysilyl group, acetoxysilyl group, oximesilyl group, or an amidosilyl group of the formula Si(Rf)n(Rg)(3-n) (n is 1 to 3; Rf is acetoxy, oxime, an alkoxy or amido; Rg is each a 1-8C hydrocarbon or phenyl).
