PROBLEM TO BE SOLVED: To obtain a catalyst for polymerizing olefins, having high reactivity in polymerizing olefins and useful for polymerizing ethylene or the like by reacting a specific compound with a specific transition metal compound. SOLUTION: This catalyst is obtained by reacting (A) a compound [e.g. a compound of formula II (wherein, Ph is phenyl) or the like] of formula I (wherein, A1 is O, S or N having a substituent R17; Q1 is P or N; R11 to R17 are each H, a halogen, a hydrocarbon or the like) with (B) a metallic compound (e.g. titanium tetrachloride or the like) containing at least one of transition metal atoms selected from group 3-9 metals. The above reacting is carried out by directly reacting the component A dissolved in a solvent such as diethyl ether with the component B, and the catalyst is e.g. a compound of formula III or the like.
