PROBLEM TO BE SOLVED: To obtain an elastomer composition of which the control of dynamic viscoelasticity and hardness is easy by dispersing a rubber component having a tanδpeak in a specified temperature range in a continuous phase of a thermoplastic resin having a tanδpeak in a specified temperature range. SOLUTION: This composition comprises a continuous phase of a thermoplastic resin having a tanδpeak in the range of 0-150 deg.C and a disperse phase of a rubber component having been crosslinked at least partially and having a tanδpeak in the range of -100-0 deg.C, in a wt. ratio of the disperse phase to the continuous phase of (5/95)-(75/25). A vibration-damping laminate is prepared by forming a coating layer having a Young's modulus of 1,000 mPa or higher on a vibration-damping layer prepared mainly from the composition. The thermoplstic resin is selected from among polyamide resins, polyester resins, polyolefin resins, etc. The rubber component comprises a rubber such as butyl rubber, an olefin rubber, natural rubber, or the like, a vulcanizing agent, an accelerator, etc.
