PROBLEM TO BE SOLVED: To provide a resin composition which can decrease the minute fish eyes and improve the color tone and interlayer adhesion of a hydroxy-containing thermoplastic resin by compounding a saponified ethylene-vinyl acetate copolymer with at least one compound selected from among boron compounds, phosphoric acid or its compounds, and fatty acid salts. SOLUTION: This composition comprises an ethylene-vinyl acetate copolymer having an ethylene content of 20-80 mol%, a degree of saponification of 80 mol% or higher, and a melt index (210 deg.C, 2160 g) of 1-100 g/10 min and 0.001-10 wt.% at least one compound selected from among boron compounds, phosphoric acid or its compounds, and fatty acid salts. This composition, in an amount of 0.5-100 pts.wt., is mixed into 100 pts.wt. saponified ethylene-vinyl acetate copolymer as a thermoplastic resin to be modified, giving a modified resin. Examples of the boron compound are boric acid and its metal salt (e.g. zinc borate). An example of the phosphoric acid compound is sodium dihydrogenphosphate. An alkali or alkaline earth metal salt of acetic or stearic acid is an example of the fatty acid salt.
