PROBLEM TO BE SOLVED: To obtain the subject aqueous resin emulsion that has excellent polymerization stability, resistance to solvents and the miscibility stability with other aqueous emulsions and is useful as an adhesive, a coating agent and the like by allowing an isocyanate to react with polyols and a specific vinyl alcohol polymer in an aqueous medium. SOLUTION: In an aqueous medium, for example, water or the like, (A) an isocyanate, for example, hexamethylene diisocyanate, (B) a polyol, for example, poly(methyl, pentylglycol adipate), and (C) a vinyl alcohol polymer bearing at least one functional group selected from amino group, primary hydroxyl group and acetoacetyl group are allowed to react with one another, preferably in an amount of 0.5-15 pts.wt. of the component C per 100 pts.wt. of the polyurethane skeleton in the components A and B thereby producing the objective resin. The component C is prepared, for example, by copolymerizing allyl glycidyl ether and vinyl acetate, adding 2-aminothio-phenol by using NaOH as a catalyst and saponifying the addition product.
