PROBLEM TO BE SOLVED: To obtain the subject composition having the function to manifest an adhesive layer of excellent mechanical strength, transparency, etc., and therefore useful as e.g. an adhesive composition by using a copolymer resin emulsion prepared by copolymerization of a monomer to specific modified polyethylene resin particles. SOLUTION: This composition is obtained by including (A) copolymer particles consisting of a carboxyl side chain-contg. copolymer and (B) a copolymer consisting of an epoxy group side chain-contg. copolymer; wherein the continuous layer of this composition comprises water and it is preferable that the respective main chain skeletons of the components A and B are of polyolefin base and the component A contain 5-40 wt.% of repeating unit having carboxyl side chain of the formula or the like, based on the weight of the copolymer constituting the component A.
