PROBLEM TO BE SOLVED: To obtain the subject composition having good flame retardancy, capable of being easily produced at a low cost and having excellent heat resistance and flame resistance by mixing an epoxy resin with a specific phosphorus- containing compound and a curing agent. SOLUTION: This phosphorus-modified flame-retardant epoxy resin composition having a phosphorus content of 0.5-13 wt.% and preferably not containing a halogen comprises (A) an epoxy resin, (B) a phosphorus-containing compound of formula I [R1 is a compound containing two or more phenolic OH groups; (n) is 0-3; R2 is a 1-8C alkyl, cyclohexyl, cyclopentyl, an aryl or the like, or R2 forms a ring together with P; (m) is 0 or 1] or formula II preferably in an amount of 10-100 pts.wt. per 100 pts.wt. of the component A, (C) a curing agent in a (component A + component B)/(component C) weight ratio of (1-80)/1, and, if necessary, (D) 5-300 pts.wt. of (i) one or more other components and/or (ii) a filler.
